Welcome to 123 ToDo. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Unforgettable Management Ltd ("Company," "we," "us," or "our"), governing your access to and use of the 123 ToDo website (123todo.com), web application (app.123todo.com), Progressive Web App (PWA), and associated software, services, and features (collectively, the "Service").

PLEASE READ THESE TERMS CAREFULLY. By accessing, browsing, installing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must immediately discontinue using the Service.

1. Architecture & Nature of the Service

123 ToDo is a local-first, privacy-focused productivity and task organization tool implementing the 1-2-3 daily focus methodology (Must Do, Should Do, Could Do).

Local-First Client-Side Operation: By architectural design, all tasks, notes, timestamp logs, subtasks, project labels, custom settings, and attached photographs entered into the Service are stored directly and locally on your physical device using your web browser's storage engines (including IndexedDB and LocalStorage). Under default operation, we do not operate application servers that store, process, or retain your unencrypted task data.

Zero-Knowledge End-to-End Encrypted Cloud Sync (Optional): The Service provides optional multi-cloud synchronization features (supporting Cloudflare Workers KV, Google Drive, and custom WebDAV servers). When activated, your data is cryptographically encrypted directly on your device using military-grade AES-256-GCM zero-knowledge encryption via the Web Crypto API, derived from a master passphrase known only to you. Decryption keys and unencrypted data are never transmitted to, visible to, or stored on our servers or third-party storage hosts.

Voice Dictation ("Talk"): Voice transcription features utilize your web browser's native Web Speech API engine. Voice audio is processed locally or through your browser vendor's platform speech service; 123 ToDo never records, intercepts, or stores your voice audio.

2. No Account Required & No Identity Verification

The core Service operates without requiring user registration, email submission, account creation, or identity verification. You may access the Service anonymously. Because we do not maintain accounts or verify identities, we have no means to identify you, locate your device, or associate you with any specific dataset.

3. TOTAL DISCLAIMER OF LIABILITY FOR DATA LOSS

Without limiting the generality of the foregoing, we shall have zero liability for any data loss, erasure, destruction, or corruption resulting from:

• Browser Actions & Cache Clearing: Clearing browser history, cookies, site data, or cache; resetting or uninstalling your browser; or using Private / Incognito browsing modes which automatically discard storage upon closing.
• Operating System Eviction: Storage reclamation, automated cache purging, or disk cleanup triggered by your operating system (e.g. iOS, Android, macOS, or Windows) under low-disk-space or battery-saving conditions.
• Hardware Events: Device loss, theft, hardware failure, water damage, screen breakage, factory resets, or physical destruction.
• Forgotten Encryption Passphrases: Because cloud sync utilizes authentic Zero-Knowledge AES-256-GCM encryption, your master passphrase is known solely to you. If you lose, misplace, or forget your encryption passphrase, your synced data is mathematically impossible to recover. We have no master key, back door, or recovery mechanism, and cannot assist you with password resets under any circumstances.
• Cloud & Network Failures: Network outages, synchronization race conditions, clock drift between devices, cloud host downtime, API quota exhaustions, or service suspensions by third-party providers (including Cloudflare, Google Drive, or WebDAV hosts).
• Software & Database Glitches: Unforeseen browser bugs, WebKit/Chromium engine regressions, IndexedDB schema corruptions, or software updates.

4. Commercial Rights, Paid Features & Future Monetisation

While 123 ToDo currently provides free access to its core client-side features, Unforgettable Management Ltd expressly reserves the unrestricted right, at its sole discretion, to monetise the Service or any component, tier, or feature thereof at any point in the future.

Such future monetisation may include, without limitation:

• Introducing optional paid subscription tiers (such as "Pro", "Team", or "Enterprise" plans);
• Restricting certain advanced features, multi-device cloud sync quotas, or enhanced storage tools to paying subscribers;
• Introducing one-time lifetime license purchases, in-app purchases, or commercial licensing;
• Establishing fair-use capacity limits on free tier usage;
• Partnering with trusted, relevant productivity partners or sponsors.

No Grandfathered Free Entitlement: The availability of any feature, service, or functionality on a free basis today does not grant, convey, or guarantee any permanent, perpetual, or irrevocable right to continued free access in the future.

Notice & Data Portability Guarantee: In the event that previously free core features become subject to a mandatory fee, we will provide reasonable advance notice on our website or within the application. Furthermore, we guarantee that you will always retain the uninterrupted right and technical ability to export your complete data as a standard, open JSON file free of charge before any mandatory paid requirements take effect.

5. Optional Cloud Sync — Third-Party Terms

When you enable optional multi-cloud sync:

• Google Drive Sync: Your encrypted backup is stored within your personal Google Drive account. You must comply with Google's Terms of Service and Privacy Policy. We are not responsible for Google service disruptions, account deactivations, or API modifications. You may revoke 123 ToDo's OAuth token anytime via your Google Security console.
• Cloudflare Workers KV: Encrypted blobs synced via our Cloudflare edge worker are stored in ciphertext format. While Cloudflare provides high availability, we provide no uptime SLA or warranty against transmission drops.
• Custom WebDAV: If you connect an independent WebDAV server (such as Nextcloud or Synology), you are solely responsible for maintaining the availability, SSL certificates, storage capacity, and security of that server.

6. Acceptable Use & User Conduct

You agree to use the Service strictly in compliance with all applicable local, national, and international laws. You agree not to:

• Use the Service for any unlawful, fraudulent, defamatory, or malicious purpose;
• Attempt to interfere with, disrupt, overload, or compromise the integrity or security of the Service, edge CDN, or sync endpoints;
• Deploy automated scrapers, bots, spiders, or scripts that subject our infrastructure to unreasonable load;
• Attempt to reverse engineer, decompile, dissemble, or extract the proprietary source code or intellectual property of the Service for competitive commercial reproduction.

7. Intellectual Property Rights

The Service, including but not limited to its software code, user interface designs, logos, artwork, icons, sound effects, algorithms, documentation, trademarks, and branding (the "Company IP"), is the exclusive property of Unforgettable Management Ltd and is protected by United Kingdom, European, and international copyright, trademark, and intellectual property laws.

You are granted a personal, revocable, non-exclusive, non-transferable, and limited license to access and use the Service solely for your personal or internal business productivity in accordance with these Terms. You retain all ownership rights to the content, text, and photos you enter into the application.

8. Disclaimer of Warranties ("AS IS" & "AS AVAILABLE")

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, FREEDOM FROM BUGS, UNINTERRUPTED AVAILABILITY, OR SECURITY.

We do not warrant that the Service will meet your specific requirements, operate error-free, be free from malicious code, or that any defects will be identified or corrected. Any reliance you place on the Service for mission-critical deadlines, medical reminders, or legal obligations is undertaken entirely at your own risk.

9. Overall Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL UNFORGETTABLE MANAGEMENT LTD, ITS DIRECTORS, EMPLOYEES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, EXEMPLARY, PUNITIVE, OR SPECIAL DAMAGES (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, BUSINESS INTERRUPTION, LOSS OF DATA, OR COST OF SUBSTITUTE SERVICES) ARISING OUT OF OR IN CONNECTION WITH THE USE OR INABILITY TO USE THE SERVICE.

TO THE EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL BE STRICTLY LIMITED TO THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) TEN BRITISH POUNDS STERLING (£10.00 GBP).

10. Indemnification

You agree to defend, indemnify, and hold harmless Unforgettable Management Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to your breach of these Terms, your use or misuse of the Service, or your violation of any third-party rights.

11. Modifications to Service & Terms

We reserve the right to modify, enhance, restrict, suspend, or discontinue any aspect of the Service at any time with or without notice. We may update these Terms from time to time. When changes are made, the "Last Updated" date at the top of this page will be refreshed. Your continued use of the Service following the posting of updated Terms constitutes your irrevocable acceptance of the revised terms.

12. Severability & Entire Agreement

If any provision of these Terms is determined by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be severed or limited to the minimum extent necessary, and the remaining provisions shall remain in full force and effect. These Terms and our Privacy Policy constitute the entire agreement between you and Unforgettable Management Ltd concerning the Service.

13. Governing Law & Jurisdiction

These Terms, their subject matter, and their formation shall be governed by and construed in accordance with the laws of England and Wales, without giving effect to any principles of conflicts of law. You and Unforgettable Management Ltd irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute, controversy, or claim arising out of or in connection with these Terms or the Service.
